Welcome to Pen & Psalm, a Bible devotional and journaling app operated by Manna Driven Investments LLC ("MDI," "we," "our," or "us"). These Terms of Service ("Terms") are a binding agreement between you and MDI. Please read them carefully, including the Dispute Resolution and Arbitration section, which affects how claims between you and us are resolved.

Please note: Section 12 limits our liability, Section 13 requires you to indemnify us in certain cases, and Section 18 requires most disputes to be resolved by individual arbitration and waives class actions and jury trials — subject to a 30-day opt-out. These terms affect your legal rights.

1. Acceptance & Eligibility

By downloading, installing, accessing, or using Pen & Psalm (the "App"), you agree to be bound by these Terms and by our Privacy Policy. If you do not agree, do not use the App.

You must be at least 13 years old to use the App. To purchase a subscription you must be at least 18 (or the age of majority where you live), or have the involvement of a parent or guardian who agrees to these Terms. By using the App you represent that you meet these requirements and that the information you provide is accurate.

Some features require an account. You agree to provide accurate and complete information, maintain the security of your credentials, accept responsibility for all activity under your account, and notify us promptly of any unauthorized use. You may not share your account or credentials with others.

4. Subscriptions, Auto-Renewal & Payments

Free features: Basic functionality is available without payment.

Premium subscriptions: Enhanced features are available through a paid subscription. Current prices and terms are shown in the App at the point of purchase. Where you subscribe determines how billing and cancellation work:

By subscribing, you authorize the applicable processor to charge the recurring fee until you cancel. If a renewal price will differ from the prior price, we will obtain your consent where required by law before it takes effect. Cancelling stops future renewals; access continues until the end of the current billing period.

5. Refunds

App Store purchases are subject to Apple's refund policy; request a refund at reportaproblem.apple.com. Web purchases are handled by us through Stripe/RevenueCat; except where a non-waivable statutory right applies (for example, the EU/UK 14-day right of withdrawal, which you may exercise before you begin using paid content, or other mandatory consumer-protection rights), payments for subscription periods already begun are non-refundable. To request a web refund, contact us using the details in Section 22.

6. User Content

You retain ownership of the content you create in the App — your journal entries, prayers, notes, and reflections ("User Content"). You grant MDI a limited, non-exclusive, worldwide, royalty-free license to host, store, reproduce, back up, transmit, and display your User Content solely to operate and provide the App to you and, where you use sharing features, to the people you invite (such as family-plan members). This license exists only so we can run the service; it ends when you delete the content or your account, except for residual copies in routine backups (purged on our normal cycle) and any copies we must keep to comply with law.

We do not monitor User Content and are not obligated to. You are responsible for your User Content, and you agree not to create content that violates any law, infringes others' intellectual-property or privacy rights, or contains malicious code or harmful material.

Feedback. If you send us ideas, suggestions, or feedback, you grant MDI a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

You agree to use the App only for lawful purposes and not to:

If you invite others to a family or shared plan, you are responsible for your invitees' use of the App under your plan, and each invitee must agree to and comply with these Terms. Managing, adding, or removing members is done through your account, and you are responsible for the fees associated with your plan.

9. Intellectual Property

The App — including its design, software, devotional and reflection content, reading plans, prompts, names, logos, and branding (but excluding User Content and public-domain Bible text) — is owned by MDI and protected by intellectual-property laws. "Pen & Psalm" and related marks are trademarks of MDI. Except for the rights expressly granted to you to use the App, no rights are transferred to you.

The Bible text in the App is the King James Version, which is in the public domain in the United States. (In the United Kingdom the King James Version is subject to Crown copyright administered under royal letters patent.)

10. License to You

Subject to these Terms, MDI grants you a limited, non-exclusive, non-transferable, revocable license to install and use the App on devices you own or control, for your personal, non-commercial use. This is a license, not a sale, and MDI reserves all rights not expressly granted.

If you download the App from the Apple App Store, the following apply and Apple's own terms of service also govern your use:

12. Disclaimer of Warranties

The App is provided "as is" and "as available," without warranties of any kind, whether express, implied, or statutory. To the maximum extent permitted by law, MDI disclaims all implied warranties, including merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the App will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the App is free of viruses or harmful components. Some jurisdictions do not allow the exclusion of certain warranties, so some of the above may not apply to you.

13. Limitation of Liability

To the maximum extent permitted by law, MDI and its members, officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, data, goodwill, or other intangible losses, arising out of or relating to the App, even if advised of the possibility.

To the maximum extent permitted by law, MDI's total aggregate liability for all claims relating to the App will not exceed the greater of (a) the amount you paid MDI for the App in the 12 months before the event giving rise to the claim, or (b) US $100.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (such as, in some jurisdictions, liability for death or personal injury caused by negligence, fraud, or gross negligence). Some jurisdictions do not allow certain limitations, so some of the above may not apply to you.

14. Indemnification

To the extent permitted by law, you agree to indemnify and hold harmless MDI and its members, officers, and employees from any claims, damages, liabilities, and reasonable expenses (including attorneys' fees) arising out of (a) your User Content, (b) your use of the App in violation of these Terms or applicable law, or (c) your violation of any third party's rights.

Pen & Psalm provides Bible verses, devotional content, prayers, and journaling prompts for personal spiritual growth. This content is provided for general, informational, and devotional purposes only. It is not professional advice and does not create any pastoral, counseling, medical, mental-health, or other professional relationship, and it is not a substitute for professional care.

If you are experiencing a crisis or thinking about harming yourself, please seek immediate help. In the United States, call or text 988 (Suicide & Crisis Lifeline). Elsewhere, contact your local emergency services or a qualified professional.

16. Changes to the Service & Pricing

We may modify, suspend, or discontinue any part of the App at any time, and we may change our fees on reasonable notice. Where a price change affects an existing subscription, we will provide notice and obtain consent where required by law before it takes effect. We are not liable to you for modifying or discontinuing the App, except for amounts already paid for a period we fail to provide.

17. Term, Termination & Account Deletion

We may suspend or terminate your access to the App at any time for violation of these Terms or to comply with law. You may stop using the App at any time. You may delete your account and associated data at any time through Settings → Data & Privacy. Upon deletion:

Sections that by their nature should survive termination — including Sections 6 (Feedback), 9, 12, 13, 14, 18, and 21 — survive.

18. Dispute Resolution; Arbitration; Class Waiver

PLEASE READ — THIS AFFECTS YOUR LEGAL RIGHTS. This section requires most disputes to be resolved by binding individual arbitration and waives your right to a jury trial and to participate in a class action. You may opt out within 30 days as described below.

Informal resolution first. Before starting a formal proceeding, you agree to contact us at legal@penandpsalm.app and give us 30 days to resolve the dispute informally.

Arbitration. If we cannot resolve a dispute informally, you and MDI agree that any dispute arising out of or relating to these Terms or the App will be resolved by binding individual arbitration, administered by a recognized arbitration provider under its consumer arbitration rules, rather than in court, except as stated below. The arbitration will be conducted in the English language, and judgment on the award may be entered in any court of competent jurisdiction.

Exceptions. Either party may bring an individual claim in small-claims court, and either party may seek injunctive relief in court to protect intellectual-property rights.

Class-action and jury waiver. Disputes will be arbitrated only on an individual basis. You and MDI waive any right to a jury trial and to bring or participate in a class, collective, or representative action. If this class-waiver provision is found unenforceable as to a particular claim, that claim (and only that claim) will proceed in court.

30-day opt-out. You may opt out of this arbitration agreement by emailing legal@penandpsalm.app within 30 days of first accepting these Terms, stating your name and that you opt out of arbitration. Opting out does not affect any other part of these Terms.

Governing law. These Terms and any dispute are governed by the laws of the State of Vermont, United States, without regard to conflict-of-law principles. To the extent a dispute is not subject to arbitration, it will be brought exclusively in the state or federal courts located in Vermont, and you consent to their jurisdiction — except that this does not deprive you of the protection of mandatory consumer-protection laws of your country of residence.

19. Export & Sanctions Compliance

You agree to comply with all applicable export-control and sanctions laws and represent that you are not located in, and will not use the App from, any jurisdiction subject to a comprehensive U.S. embargo, and that you are not on any restricted- or prohibited-party list.

20. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the "Last Updated" date and notify you through the App or by email. Your continued use of the App after the changes take effect constitutes acceptance of the updated Terms.
